In order to streamline the group corporate footprint and branding (enhancing customer experience, eg), to accelerate ICT business development and to improve efficiency, the boards of directors of Orange Belgium and BKM, a wholly owned subsidiary of Orange Belgium, have resolved to merge BKM upstream into Orange Belgium. As a result of the merger, Orange Belgium will take over the activities currently operated by BKM on existing arrangements.

Last week, Orange Belgium confirmed that it was in discussions with Nethys about converting its 25% + 1 share in VOO into Orange Belgium shares. This option is available to Nethys as part of the acquisition of VOO by Orange Belgium.
Na de overname van VOO door Orange Belgium behield Nethys 25% + één aandeel in VOO. In het kader van deze transactie heeft Nethys de mogelijkheid om zijn belang in VOO om te zetten in aandelen van Orange Belgium, met behoud van de governancerechten verbonden aan zijn belang in VOO zodra hij aandeelhouder is van Orange Belgium.
Following the acquisition of VOO by Orange Belgium, Nethys retained 25% + one share in VOO. As part of this transaction, Nethys has the option of converting its stake in VOO into Orange Belgium shares, while retaining the governance rights associated with its stake in VOO once it has acquired a stake in Orange Belgium. Following a press article published today, Orange Belgium confirms that discussions with Nethys are ongoing with a view to implementing this operation. By contributing its stake in VOO, Nethys would obtain a stake in Orange Belgium of around 11%.
A la suite du rachat de VOO par Orange Belgium, Nethys a conservé 25% + une action de VOO. Dans le cadre de cette transaction, la possibilité est offerte à Nethys de convertir sa participation dans VOO en titres Orange Belgium tout en conservant, une fois au capital d’Orange Belgium, les droits de gouvernance associés à sa participation dans VOO.
In order to streamline the group corporate footprint and to improve efficiency the boards of directors of Orange Belgium and A3COM, a wholly owned subsidiary of Orange Belgium, have resolved to merge A3COM upstream into Orange Belgium. As a result of the merger, Orange Belgium will take over the shops currently operated by A3COM on existing arrangements.
