Public announcement pursuant to Article 7:97, §4/1 of the Code of Companies and Associations ("CCA") regarding the financing arrangements of the acquisition of shares in VOO SA

Sustained commercial performance and solid EBITDAaL growth in 2022

Met deze overeenkomsten verzekert Orange Belgium zich van toegang tot Telenets hybride glasvezelcoaxnetwerk en tot het toekomstige Fiber-to-the-Home-netwerk van Telenet voor een periode van 15 jaar, een belangrijke factor om zijn nationale convergentiestrategie te versterken. In combinatie met zijn geavanceerde mobiele netwerk en de modernisering van het VOO-netwerk in de gewesten Wallonië en Brussel-Hoofdstad, zal Orange Belgium de vaste en mobiele multi-gigabit ervaring in het hele land democratiseren.

Orange Belgium et Telenet ont signé deux accords commerciaux de vente en gros de services fixes, dont l'entrée en vigueur est subordonnée à la réalisation de la transaction relative à l'acquisition de 75 % moins une action de VOO par Orange Belgium. Les accords donneront accès aux réseaux fixes de l'autre partie pour une période de 15 ans et couvrent à la fois les technologies actuelles hybride fibre-coaxial et les futures technologies de fibre optique jusqu'au domicile dans les deux zones de réseau.

Orange Belgium and Telenet have signed two commercial fixed wholesale agreements, which entry into force is subject to the completion of the transaction related to the acquisition of 75% minus one share of VOO by Orange Belgium. The agreements will provide access to each other’s fixed networks for a 15-year period and cover both current Hybrid Fiber Coaxial and future Fiber to the Home technologies in both network areas. Orange Belgium believes these agreements will foster investment, benefit the customer and competition in the Belgian telecom market.

Om de organisatiestructuur van de groep te stroomlijnen, hebben de raden van bestuur van Orange Belgium en Upsize, een volledige dochtervennootschap van Orange Belgium, besloten Upsize en Orange Belgium te fusioneren. Door deze fusie zal Orange Belgium de enige aandeelhouder van BKM worden.

In order to streamline the group organizational structure, the boards of directors of Orange Belgium and Upsize, a wholly owned subsidiary of Orange Belgium, have decided to merge Upsize into Orange Belgium. As a result of the merger, Orange Belgium will become the sole shareholder of BKM.
